These Terms of Service ("Terms") govern your use of the website www.novomins.com.au (the "Site") and any purchase you make through it, including one-off and subscription purchases. The Site and the products sold through it are operated and sold by Novomins Australia Pty Limited (ABN 99 664 208 753) ("Novomins", "we", "us", or "our").

By accessing or using this Site, or by placing an order (including a subscription order), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site or place an order.

1. Who We Are

Novomins Australia Pty Limited is an Australian company that sells Novomins-branded health supplements directly to consumers through the Site. Orders placed on the Site — whether a one-off purchase or a recurring subscription — are a contract between you and Novomins Australia Pty Limited.

2. Eligibility and Site Use

The Site is intended for users located in Australia and at least 18 years of age. You may browse and use the Site, and place orders, for lawful purposes only and in compliance with applicable laws and regulations. You agree not to:

●      Use the Site for any fraudulent or unlawful purpose;

●      Interfere with or disrupt the operation or security of the Site;

●      Attempt to gain unauthorised access to the Site or its related systems;

●      Post or transmit any harmful code, viruses, or similar materials;

●      Provide false or misleading information when placing an order or creating an account.

3. Product Information

The Site provides general information about Novomins products. Information is not intended as medical advice or to replace consultation with a qualified healthcare professional. Always read product labels and use only as directed. Consult your healthcare provider before using any supplement, especially if pregnant, nursing, taking medication, or managing a health condition.

Our listed medicines carry an AUST L number, indicating inclusion on the Australian Register of Therapeutic Goods. Listed medicines are assessed by the Therapeutic Goods Administration (TGA) for safety and quality, but claims made about them are not individually evaluated by the TGA for efficacy before the product goes to market.

While we make reasonable efforts to keep information accurate and up to date, we make no warranties about the completeness, accuracy, reliability, or availability of the Site or its content.

4. Orders and Payment

Prices for products are displayed in Australian Dollars (AUD) and are inclusive of GST where applicable. Delivery charges (if any) are shown separately at checkout before you complete your order.

Payment is processed by [PAYMENT PROCESSOR NAME, e.g. Shopify Payments / Stripe]. We do not store your full payment card details; they are handled by our payment processor in accordance with its own terms and privacy practices.

Placing an order is an offer to purchase, which we may accept or decline. We may decline or cancel an order (in whole or part) where, for example, a product is out of stock, a pricing or listing error has occurred, we suspect fraud, or we are unable to verify your details. If we cancel an order you have already paid for, we will refund the amount paid in full.

5. Subscriptions

Subscription orders on the Site are managed using Appstle Subscriptions, a third-party subscription management application integrated into our checkout ("Subscription Platform"). By subscribing, you authorise us (via the Subscription Platform) to charge your nominated payment method automatically at the frequency you select, until you cancel.

Before you confirm a subscription order, we will clearly display: the products included, the price per delivery, the billing and delivery frequency, and how to cancel.

Price changes: if we change the price of a product you are subscribed to, we will give you at least 14 days' advance notice by email before the new price applies to your next scheduled order. You may cancel before the new price takes effect without penalty.

Cancellation: you may cancel your subscription at any time, at no cost, using the self-service option in your account portal (or by following the cancellation link in your order confirmation/reminder emails). Cancellation does not require you to call or email customer service, and takes effect for the next scheduled order provided you cancel at least 3 days before that order's billing date; orders already processed or dispatched are not affected.

Failed payments: if a scheduled payment fails, we (or the Subscription Platform) may retry the charge and/or pause the subscription. We will notify you if your subscription is paused or cancelled due to failed payment.

6. Delivery

We aim to dispatch and deliver orders within the timeframes indicated on the Site, which are estimates only and not guaranteed delivery dates. Risk in the products passes to you on delivery. Delivery costs and any applicable thresholds for free delivery are disclosed at checkout.

7. Returns, Refunds and Cancellations

Nothing in this section limits any rights you have under the Australian Consumer Law (ACL) that cannot be excluded. Our goods come with guarantees that cannot be excluded under the ACL. You are entitled to a replacement or refund for a major failure and for compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

In addition to those statutory rights, and as set out in full in our Returns Policy, we accept change-of-mind returns where the product is returned in like-new, unopened condition within 14 days of delivery, for a refund of the purchase price (return shipping costs are payable by the customer). This change-of-mind policy is additional to, and does not replace or limit, your ACL rights.

8. Marketing Communications

We will only send you marketing emails or SMS if you have consented (including by subscribing or opting in at checkout). Every marketing message will include a functioning unsubscribe mechanism, and you may withdraw consent at any time in accordance with the Spam Act 2003 (Cth). Unsubscribing from marketing communications does not cancel an active subscription order — to cancel a subscription, see Section 5.

9. Intellectual Property

All content on this Site—including text, images, graphics, logos, and software—is owned or licensed by Novomins Pty Limited and protected by Australian and international intellectual property laws. You may view and print content for personal, non-commercial use only. No content may be reproduced, distributed, or modified without prior written consent.

10. Third-Party Links

Our Site may include links to third-party websites (for example, informational or partner content). Those sites are operated independently and governed by their own terms and privacy policies. Novomins is not responsible for the content, accuracy, or practices of third-party websites reached via such links.

11. Disclaimer and Limitation of Liability

To the fullest extent permitted by law, Novomins Pty Limited excludes all warranties, representations, and guarantees (whether express or implied) regarding the Site and its content, other than those which cannot be excluded under the Australian Consumer Law. The Site is provided "as is" and "as available".

Nothing in these Terms excludes, restricts or modifies any consumer guarantees, rights, or remedies under the Australian Consumer Law (ACL) that cannot be excluded by law.

To the extent permitted by law, and subject to your ACL rights, Novomins's liability for any loss or damage arising from your use of the Site or a product purchased through it is limited, at our option, to resupplying the goods or services, or paying the cost of having them resupplied.

12. Indemnity

You agree to indemnify Novomins Pty Limited, its officers, directors, employees, and agents against any claims, liabilities, damages, losses, or expenses (including legal fees) arising directly out of your breach of these Terms or your fraudulent, unlawful, or negligent misuse of the Site, except to the extent such claims, liabilities, damages, losses, or expenses arise from our own negligence, breach of these Terms, or breach of a consumer guarantee under the ACL.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and disclose personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

14. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised “Last updated” date. For changes that materially affect an active subscription (for example, price, billing frequency, or cancellation rights), we will give you at least 14 days' notice by email before the change applies to your subscription, and you may cancel before it takes effect. Continued use of the Site after other, non-material updates constitutes acceptance of the revised Terms.

15. Suspension and Termination

We may suspend or terminate your access to the Site or your account where we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful conduct, or where required to do so by law. Suspension or termination does not affect: any statutory rights you have under the Australian Consumer Law; your rights in respect of orders already paid for and not yet fulfilled, which we will fulfil or refund; or any accrued rights or liabilities of either party.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, without limiting any right you may have to bring a claim in another jurisdiction under the Australian Consumer Law.
